1. Provider
Japaniste OÜ, an Estonian private limited company with share capital of €65,000, operating the webedio brand, registered office Ahtri tn 12, 10151 Tallinn, Estonia, Commercial Register no. 16271540, EU VAT EE102423242, reachable at hello@webedio.com (the "Provider").
2. Scope
These terms govern the sale of the Provider's services: custom websites, apps and tools, automation, CRM and email marketing, content production and ad campaign management ("Projects"), and monthly hosting, maintenance, management and support plans ("Subscriptions").
3. Quotes and orders
Each Project is covered by a written proposal stating scope, schedule and price, valid for 30 days. The order is confirmed once the proposal is accepted in writing and the deposit is paid. Any work outside the agreed scope is quoted separately and requires the client's approval.
4. Prices and payment
Prices are fixed and exclude VAT. Unless the proposal states otherwise: 40% deposit on order, balance on delivery. Subscriptions are billed monthly in advance. Advertising budgets are paid by the client directly to the platforms.
Invoices are payable within 30 days. Late payment automatically incurs interest at the European Central Bank refinancing rate plus 8 percentage points, and a fixed €40 recovery fee, in line with Directive 2011/7/EU and the Estonian Law of Obligations Act (§ 113). After a formal notice left unanswered for 15 days, the Provider may suspend its services.
5. Delivery and acceptance
The client provides content, access and approvals on time; delays on the client's side shift the schedule accordingly. After delivery, the client has 10 business days to report any non-conformity in writing, which is fixed at no cost. Without reservations within that period, or once the work goes live, delivery is deemed accepted.
6. Intellectual property
Upon full payment, the Provider assigns to the client the economic rights to the work created specifically for them (code, design, content), worldwide and for the full legal term. The Provider's pre-existing tools, generic components and know-how remain its property under a non-exclusive licence. The app.webedio.com platform remains the Provider's property; the client's data belongs to the client. Unless the client objects in writing, the Provider may cite the Project as a reference.
7. Subscriptions
Subscriptions run for one month and renew automatically. Either party may terminate at any time in writing with 30 days' notice; any month started remains due. On termination, the Provider returns the client's data and code on request in a standard format, then deletes hosted data within 3 months.
8. Data processing
When the Provider processes personal data on the client's behalf, it acts as a processor under Article 28 GDPR: it processes data only on documented instructions, ensures confidentiality and security, uses only the sub-processors listed in the privacy policy, assists the client with data subject requests, notifies any data breach within 48 hours of becoming aware of it, and returns then deletes the data at the end of the contract. The client remains responsible for the lawfulness of its processing, including consent for email marketing.
9. Liability
The Provider has an obligation of means. Its liability is limited to direct damages and capped at the amount paid by the client for the Project or for the last 12 months of Subscription. It is not liable for indirect losses or for the commercial results of campaigns.
10. Confidentiality and force majeure
Each party keeps the other's non-public information confidential during the collaboration and for 3 years afterwards. Neither party is liable for failures caused by force majeure; if it lasts more than 60 days, either party may terminate without compensation.
11. Governing law
These terms are governed by Estonian law. The parties will first seek an amicable solution; failing that, Harju County Court (Harju Maakohus) in Tallinn has exclusive jurisdiction.
